Welcome to The Next Agent Solutions Inc. (“Company”, “we”, “our”). By accessing or using our website and AI-powered services (collectively, the “Services”), you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree with any portion of these Terms, you may not use the Services.

1. Use of Services

  • You may use our Services only for lawful purposes and in compliance with applicable laws.

  • You agree not to use the Services to:

    • Distribute any harmful, defamatory, abusive, or illegal content.

    • Attempt to reverse engineer, decompile, or otherwise access underlying systems or code.

    • Interfere with or disrupt the integrity or performance of the Services.

    • Upload malicious code, viruses, or other disruptive technologies.

    • Violate intellectual property, privacy, or other rights.

We reserve the right to suspend or terminate access to the Services for any user violating these Terms.

2. Account & Access

  • Our Services do not require user registration or login.

  • If in the future we introduce account-based features, you agree to:

    • Provide accurate and up-to-date information.

    • Maintain the confidentiality of any credentials.

    • Notify us immediately of any unauthorized access.

3. Intellectual Property Rights

Unless otherwise indicated:

  • All content, visual elements, logos, and service designs are the intellectual property of The Next Agent Solutions Inc.

  • You are granted a limited, non-transferable license to use Services for personal or internal business use only.

  • You may not copy, reproduce, distribute, or publicly display any portion of the Services without written consent.

You retain ownership over any content you submit. By submitting it, you grant us a non-exclusive right to process it for the purpose of delivering Services.

4. AI-Generated Content

Our Services rely on artificial intelligence to process user input and produce results. You understand and agree that:

  • AI-generated content is created based on user prompts and underlying models; results may be incomplete, inaccurate, or biased.

  • Outputs do not constitute professional advice (e.g., legal, medical, financial).

  • You remain responsible for how you use or rely on AI-generated outputs.

We recommend all users independently verify critical information before acting on AI suggestions.

5. Disclaimer of Warranties

  • Services are provided “AS IS”, without warranties of any kind, either express or implied.

  • We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

  • We do not guarantee uninterrupted, secure, or error-free operation of the Services.

6. Limitation of Liability

To the fullest extent permitted by law:

  • The Services are provided “as is” and “as available”, with no warranties, express or implied.

  • We do not guarantee error-free operation or perfect accuracy of AI-generated outputs.

  • We shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill.

If any liability arises, our total liability shall not exceed CAD $100 or the amount you paid (if any) in the last 12 months.

7. Indemnification

​You agree to indemnify, defend, and hold harmless The Next Agent Solutions Inc. and its officers, directors, employees, and agents from any claim, liability, damages, or expenses arising from:

  • Your misuse of the Services,

  • Violation of these Terms,

  • Creation or distribution of unauthorized or harmful content,

  • Infringement of third-party rights.

8. Third-Party Services & Links

  • The Services may integrate with or link to third-party websites, plugins, or services.

  • We do not control and are not responsible for their content, privacy policies, or practices.

  • Your use of third-party services is subject to their own terms.

9. Privacy & Data Handling

  • Our use and handling of your data are governed by our Privacy Policy.

  • You agree to the terms outlined in that policy.

10. Termination

  • We reserve the right to suspend or terminate your access to the Services at any time without notice, for conduct we deem inappropriate or in violation of these Terms.

  • Termination does not affect rights or obligations that arose before termination.

11. Governing Law

  • These Terms are governed by and construed in accordance with the laws of Canada.

  • Any disputes shall be resolved in the courts of the province where The Next Agent Solutions Inc. is registered.

12. Modifications to These Terms

  • We may modify these Terms from time to time.

  • The “Last updated” date will reflect the most recent revision.

  • Continued use of the Services after changes indicates acceptance of the updated Terms.
